Please read these terms and conditions carefully before using our services. By accessing or using our website and services, you agree to be bound by these terms.

1Agreement to Terms

By accessing and using Silver Spider Media's website and services, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you should not use our services.

These terms apply to all visitors, users, and others who access or use our services, including web design, Google Business Profile optimisation, paid advertising, and related digital marketing services.

2Services Provided

Silver Spider Media provides digital marketing services including, but not limited to:

  • Custom website design and development
  • Google Business Profile setup and optimisation
  • Paid advertising campaign management (Google Ads, Facebook, Instagram, LinkedIn)
  • Online quote calculator development
  • SEO and digital marketing consultancy

Service specifications, deliverables, timelines, and pricing are outlined in individual project proposals and contracts. These terms supplement but do not replace specific project agreements.

3Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide accurate and complete information required for project completion
  • Supply all necessary content, images, logos, and materials in a timely manner
  • Respond to requests for feedback and approvals within agreed timeframes
  • Make timely payments according to the agreed payment schedule
  • Ensure you have the legal right to use any materials provided to us
  • Maintain the confidentiality of login credentials and account information

Delays caused by late provision of materials or feedback may result in extended project timelines. We will make reasonable efforts to accommodate delays but cannot guarantee original delivery dates in such circumstances.

4Payment Terms

Project Deposits: A deposit (typically 50% of the total project fee) is required before work commences. The deposit is non-refundable once work has begun.

Final Payment: The remaining balance is due upon project completion and before final delivery of all files and assets. We reserve the right to withhold delivery until full payment is received.

Monthly Retainers: For ongoing services such as advertising management, payments are due monthly in advance. Services may be suspended if payments are not received within 7 days of the due date.

Late Payments: Invoices not paid within 30 days of the due date may incur a late payment fee of 5% per month or the maximum rate permitted by law, whichever is lower.

Third-Party Costs: Clients are responsible for all third-party costs including domain registration, hosting, stock images, advertising spend, and software licences unless otherwise agreed in writing.

5Intellectual Property Rights

Client Content: You retain all rights to content, images, logos, and materials you provide to us. By providing these materials, you grant us a licence to use them for the purposes of completing your project.

Completed Work: Upon receipt of full payment, you receive ownership of the final deliverables (websites, graphics, etc.) created specifically for your project. However, we retain the right to display the work in our portfolio and marketing materials.

Pre-existing Materials: We retain ownership of any pre-existing templates, code libraries, design elements, and proprietary methodologies used in your project. These remain our intellectual property.

Third-Party Elements: Some projects may incorporate third-party elements (fonts, stock images, software) that are licensed rather than owned. You agree to comply with the terms of such licences.

6Revisions and Project Changes

Each project includes a specified number of revision rounds as outlined in the project proposal. Additional revisions beyond the agreed amount may incur extra charges at our standard hourly rate.

Major changes to project scope, functionality, or design direction after work has commenced will require a revised quote and may affect project timelines. We will provide written notice of any additional costs before proceeding with scope changes.

We make every effort to accommodate client feedback and requests, but reserve the right to decline revision requests that fall outside the original project scope or are technically unfeasible.

7Warranties and Limitations

Quality Assurance: We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Websites are tested across major browsers and devices before delivery.

Support Period: Unless otherwise specified, we provide 30 days of complimentary support following project completion to address bugs or technical issues. Support does not include new features, content updates, or training.

No Guarantee of Results: While we strive to deliver effective solutions, we cannot guarantee specific business results, search engine rankings, advertising ROI, or website traffic levels. Digital marketing outcomes depend on many factors beyond our control.

Limitation of Liability: Our liability is limited to the total amount paid for services. We are not liable for indirect, consequential, or incidental damages including lost profits, data loss, or business interruption.

8Confidentiality

We respect the confidentiality of your business information. We will not disclose confidential information shared during the course of our work to third parties, except as required by law or with your explicit permission.

Information that is publicly available, independently developed by us, or received from third parties without confidentiality obligations is not considered confidential.

You agree to keep confidential any proprietary methodologies, pricing structures, or business practices you learn about Silver Spider Media during our working relationship.

9Termination of Services

Client Termination: You may terminate a project at any time by providing written notice. You will be invoiced for all work completed to the date of termination, including any non-refundable third-party costs. Deposits are non-refundable once work has commenced.

Our Termination Rights: We reserve the right to terminate services if:

  • Payments are not received according to agreed terms
  • You provide false or misleading information
  • You request work that violates laws or ethical standards
  • Communication or behaviour is abusive or unreasonable
  • You fail to provide required materials or feedback within reasonable timeframes

Upon termination, we will provide you with all completed work in its current state upon receipt of payment for services rendered.

10Hosting and Ongoing Maintenance

We can arrange website hosting and ongoing maintenance services, but these are optional and subject to separate agreements. You are free to choose your own hosting provider.

If we provide hosting services, we will make reasonable efforts to ensure uptime and security, but cannot guarantee 100% availability. We recommend regular backups, which may be included in maintenance packages.

Ongoing maintenance and support services are billed separately from project work and can be cancelled with 30 days' written notice. Upon cancellation, you will receive all necessary files and credentials to maintain the website independently or with another provider.

11Indemnification

You agree to indemnify and hold harmless Silver Spider Media, its directors, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your breach of these terms and conditions
  • Content, images, or materials you provide that infringe third-party rights
  • Your use of delivered work in violation of applicable laws or regulations
  • Modifications you or third parties make to our work after delivery

12Governing Law and Disputes

These terms and conditions are governed by the laws of Northern Ireland and the United Kingdom. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of Northern Ireland.

We encourage clients to resolve any concerns through direct communication. If a dispute arises, we will make reasonable efforts to resolve it amicably before pursuing formal legal action.

13Changes to These Terms

We reserve the right to modify these terms and conditions at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes are posted constitutes acceptance of the modified terms.

For active projects, the terms in effect at the time the project contract was signed will govern that specific project, unless both parties agree to updated terms.
